User agreement

 

These terms and conditions of the present Agreement constitute a legal and binding agreement between user (hereinafter referred to as the "client", "you") and:

Coinumm OÜ, a company incorporated in Estonia with company registry code 14809797, having and its registered address at Männimäe 1, Pudisoo küla, Kuusalu vald, Harju maakond, 74626 / UAB Coinumm, a company incorporated in Lithuania with company registry code 305987456, having and its registered address at Eišiškių Sodų 18-oji g. 11, LT-02194 Vilnius / CNMM Sp. z o.o., a company incorporated in Poland with a company registry code 52471362, having and its registered address at Piotrkowska 116/52, 90-006, Lodz, Poland (hereinafter both together and separately referred to as the "Coinumm").

The client undertakes to read and to accept all terms the present agreement in full before using the Coinumm services; otherwise the client cannot use the Coinumm services. Use of Coinumm services means full consent of the client with all provisions of the present Agreement.

Coinumm may change terms and conditions from time to time so the client should review them regularly. Your use of this website will be deemed an acceptance of the terms and conditions existing at that time.

Used terms

Website is a set of equipment and software available at the address https://coinumm.com and any of its subdomains providing information to the client and a certain set of services.

Digital Currency (virtual or crypto currencies) are accounting units (or title signs) of various electronic payment systems, symbolizing a certain volume of property rights defined by the rules of the respective payment systems.

Payment System is any system used to settle financial, virtual or crypto transactions through the transfer of monetary value or tokens, and includes the institutions, instruments, people, rules, procedures, standards, and technologies that make such an exchange possible.

Request is information provided by the client to Coinumm indicating the client’s intent to use the services of Coinumm according to the terms established by Coinumm and specified in the request. All parameters and conditions that were not explicitly specified in the request are governed by the present terms and conditions.

Services of Coinumm are transactions related to input and output of crypto currencies, as well as other services, information about which it is located on the website.

 

1. Provision of Services

1.1. Coinumm’s business model is to provide services of exchanging virtual currency against fiat currency and vice versa. These services are available to both private individuals and legal entities (hereafter referred to as "Clients").

 

1.2. Clients should understand that trading with cryptocurrencies carries high risks, including the potential for losses to reduce to zero. Coinumm cannot be held responsible for any losses incurred during trading.

 

2. Account Registration and Verification

2.1. The services are available to Clients who are legally recognized entities or individuals over 18 years of age.

 

2.2. Each legal entity is allowed only one registration under its corporate identity. The Client must ensure that all registration information remains current and accurate.

 

2.3. Clients must not: (1) impersonate another person or entity, (2) disclose their password to anyone else, (3) allow anyone else to use their account, or (4) use another's account.

 

2.4. Identity Verification:

Legal entities must provide:

A copy of the incorporation documents b) memorandum c) Articles of association

Proof of address for the company (less than 3 months old)

Shares register, ownership structure

UBO and directors’ identity verification via SumSub

This information must be accurate and authentic, and Clients agree to keep it updated.

 

2.5. Clients are responsible for all activities conducted through their account. Immediate notification to Coinumm via [email protected] is required if there is any unauthorized use of the account.

 

2.6. Coinumm reserves the right to disable any Client account if the Client fails to comply with these terms or provides false registration details.

 

3. Terms of Exchange Operations and Responsibility of the Parties

3.1. By using the website, Clients acknowledge the legality of their activities related to virtual currencies.

 

3.2. Coinumm reserves the right to deny services to any Client without giving any reason, especially in cases where the Client's activities are suspected of being illegal or unethical.

 

4. Cost of services

4.1. Tariffs are established by the administration of Coinumm and are published on the website. Administration of Coinumm has the right to change the tariffs without prior notice to anyone.

4.2. Paying in currencies other than euros, a currency conversion fee is applied additionally to calculate exchange rate.

5. Corporate Account Details

 

5.1. All account details remain confidential. Coinumm does not collect or store sensitive information. Trusted payment gateways protect online transactions with SSL encryption technology.

 

5.2. For transactions conducted through corporate accounts, the name on the Coinumm account must match the corporate entity’s legal name. The use of third-party accounts to conduct transactions is strictly prohibited.

 

6. Warranty

 

6.1. The warranty period for the services provided under this user agreement is 48 hours from the moment of acceptance of the Coinumm’s user agreement and payment on the corresponding order.

 

In case of not sending virtual currency within 48 hours by the Coinumm to the client’s wallet address specified in the order, the client may request the cancellation of the agreement and refund in full. The funds should be returned within 24 hours to the same method of payment in the event of order cancellation.

 

7. Refund and chargebacks

 

7.1. Please refer to our Refund Policy for information if you are eligible for refund and/or chargeback.

 

8.  Third party service provider

 

The client shall consent to the following provisions:

 

8.1. Coinumm uses third party services and such third party’s affiliates services which enable you to place monetary deposits and perform transfer of payments within partners website by making use of your existing credit card (as and if available and applicable). Services do not include any additional service, and such third party services do not include providing and/or depositing the applicable Digital Currency into your account.

 

8.2. Coinumm may share and transfer (including cross border transfer) Personal Information to the third party service provider for the purpose of rendering the services which will be made to partners website via the use of your credit card. The Personal Information will be shared with the third party service provider after you elect to execute such monetary payments by using the services of the third party service provider. For the purpose of this section Personal Information shall include information that identifies or may identify you, including the information submitted by you through the registration form when you subscribe to the website such as your e-mail address, password, country and city and/or information provided through social websites or any other identifying information provided by you while using the services of our website.

 

8.3. In addition, we may transfer any Non-Personal Information provided by you through your use of the services on our website to the third party service provider in order to allow the third party service provider to perform preliminary examinations of Non-personal Information for the purpose of determining if you are qualified to use the services of such third party service provider, including the history of your transactions on the website which will be provided without any identifying information and solely for the purpose of performing the preliminary examinations.

 

8.4. You are not obligated by law to provide partner and/or the third party service provider with any Personal Information. You hereby acknowledge and agree that you are providing partner and/or the third party service provider with Personal Information at his/her own free will, for the purposes of rendering the services.

 

9. Force majeure

 

9.1. Coinumm is not liable and does not reimburse damages as a result of inadequate performance of its obligations to the client caused by force majeure circumstances. Such circumstances, include in particular: failures; equipment shutdowns or work with power supply failures; acts of God; natural and industrial accidents; acts of terrorism; military operations; civil disorders; acceptance by public authorities, acceptance of laws containing prohibitions or restrictions concerning the activities of Coinumm or related payment system by public authorities, local governments or administrations of payment systems; other circumstances that cannot be reasonably foreseen or prevented in advance and that prevent provision of the services of Coinumm.

 

10. Disputes resolution

 

10.1. Disputes and disagreements arising in connection with provision of services by Coinumm to the client are resolved by correspondence.

 

10.2. In some cases disagreements can be resolved with the assistance of administration of one of the payment systems.

 

10.3. If it is impossible to settle the arising questions by correspondence, the dispute is resolved according to the current legislation of Lithuania.

 

11. Personal data

 

11.1. Please refer to our Privacy Policy for information about how we collect, use and share your personal information.

 

12. Eligibility

 

12.1. You are not allowed to access or use the services if you are resident, incorporated or otherwise established in this page (ii) a jurisdiction where it would be illegal according to applicable law for you (by reason of your citizenship, residence or otherwise) to access or use the services (together hereinafter referred to as “Restricted Jurisdictions”). If Coinumm determines that you are accessing the services from any Restricted Jurisdiction, or have given false representations as to your location of incorporation, establishment, citizenship or place of residence, Coinumm reserves the right to close your account with immediate effect.

 

In connection with the situation that has arisen around Russia and Ukraine, extensive sanctions have been imposed against both the Russian Federation and the Republic of Belarus, some of their citizens, and enterprises. Some Russian and Belarusian banks, as well as their subsidiaries, have also been included in the EU and US sanctions list.
